Retro Asset Studio GameRoad Studio Version 1.0 of this agreement, applicable to Retro Asset Studio 0.1.0-alpha.1 and later alpha releases unless replaced.

This End User License Agreement ("Agreement") is a legal agreement between you (an individual or a single legal entity, "you") and GameRoad Studio ("we", "us") for the Retro Asset Studio desktop software, including any updates, documentation, and related materials we provide (the "Software").

By installing, copying, or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to this Agreement, we grant you a personal, worldwide, non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or control, for personal and commercial purposes, free of charge.

You may install the Software on as many of your own computers as you like, and you may make copies for backup purposes.

2. Freeware, proprietary software

The Software is provided as freeware. It is proprietary software owned by GameRoad Studio and protected by copyright and other intellectual property laws. The source code is not provided, and no rights are granted to it. This Agreement gives you a license to use the Software; it does not sell it to you.

3. Restrictions

You may not, and may not allow others to:

  1. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent that applicable law expressly permits it despite this restriction;
  2. modify, adapt, translate, or create derivative works of the Software;
  3. distribute, sell, rent, lease, lend, sublicense, or host the Software, or distribute modified builds of it. You may share the unmodified installer or portable package as downloaded from us, or better, link to retroassetstudio.com/download;
  4. remove or alter any copyright, trademark, or other proprietary notices in the Software;
  5. use the Software to violate any law or any third party's rights, or to develop a competing product by copying its design or code;
  6. use the "Retro Asset Studio" or "GameRoad Studio" names or logos to endorse or promote products derived from your use of the Software without our written permission. You may state that assets were made with Retro Asset Studio.

4. Third-party AI services

The Software generates images by sending your prompts and selected images to the third-party AI provider you configure (currently Google Gemini; other providers will be added) using accounts and API keys that you provide.

  1. Those services are not part of the Software. They are governed by their own terms, usage policies, and pricing, which you accept directly with each provider.
  2. You are solely responsible for your provider accounts, for keeping your API keys confidential, for all charges those providers bill to your accounts, and for complying with their policies.
  3. We do not control the availability, quality, safety filtering, or output of those services. They may change or stop working with the Software at any time.
  4. The Software transmits data to those services only as described in the Privacy & Data page.

5. Generated content

  1. As between you and us, you own the images and other content you create with the Software ("Output"). We claim no rights in your Output and do not receive copies of it.
  2. Your rights in Output may be limited by the terms of the AI provider that generated it and by applicable law, including the copyright status of AI-generated works in your jurisdiction. You are responsible for checking that your intended use, including commercial use, is permitted.
  3. You are responsible for the Output you create and how you use it, including making sure it does not infringe anyone's rights.

6. Feedback

If you send us suggestions, bug reports, or other feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

7. Alpha software

The Software is currently distributed as an alpha release. It may contain defects, may lose or corrupt data, may change substantially between versions, and may be discontinued. You should back up your projects regularly using the export feature. You use alpha software at your own risk.

8. Updates and support

We may release updates at our discretion. Updates are subject to this Agreement unless they come with a new agreement. We are not obligated to provide support, maintenance, or updates. Community support is available through the channels listed on the Reporting Bugs page.

9. Privacy

The Software does not collect telemetry or personal data for us. What it stores locally and what it sends to AI providers is described in the Privacy & Data page, which forms part of this Agreement.

10. Disclaimer of warranty

The Software is provided "as is" and "as available", without warranty of any kind. To the maximum extent allowed by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Software will be error-free or uninterrupted, or that defects will be corrected. No oral or written information given by us creates a warranty.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

11. Limitation of liability

To the maximum extent allowed by applicable law, in no event will GameRoad Studio or its owners, contributors, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, loss of profits, or costs of third-party services (including AI provider charges), arising out of or related to the Software or this Agreement, even if advised of the possibility of such damages. Because the Software is provided free of charge, our total liability for all claims under this Agreement will not exceed ten euros (EUR 10) or the equivalent in local currency.

Nothing in this Agreement limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

12. Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. You may terminate it at any time by uninstalling and destroying all copies of the Software. On termination you must stop using the Software and delete all copies. Sections 3 through 7 and 10 through 14 survive termination. Termination does not affect your rights in Output you created before termination.

13. Export compliance

You agree to comply with all applicable export and sanctions laws and not to use or export the Software in violation of them.

14. General

  1. Governing law. This Agreement is governed by the laws of [Jurisdiction to be completed by GameRoad Studio], without regard to its conflict-of-law rules. Courts located there have exclusive jurisdiction over disputes arising from this Agreement, except that consumers may benefit from mandatory protections of the law of their country of residence.
  2. Entire agreement. This Agreement, together with the Privacy & Data page, is the complete agreement between you and us about the Software and replaces any prior agreements.
  3. Severability. If any provision is held unenforceable, the rest of the Agreement remains in effect.
  4. No waiver. Our failure to enforce a provision is not a waiver of it.
  5. Changes. We may update this Agreement for future versions of the Software. The version that applies to you is the one published with the version of the Software you are using. Continued use of a new version after its agreement is published constitutes acceptance.
